OUTPOST X GUEST ACCOMMODATION AGREEMENT

For purposes of this Agreement, “Outpost X” means Exotic Bnbs LLC d/b/a Outpost X, and “Guest” means the individual making or accepting the reservation. These terms and conditions govern the rental and use of accommodations and all related goods, services, amenities, activities, equipment, and facilities provided by Outpost X. By booking, electronically accepting this Agreement, or checking into the property, Guest agrees to be bound by these terms and accepts responsibility for compliance by all occupants, visitors, invitees, and minors associated with Guest’s reservation.

1. SCOPE OF AGREEMENT AND RESERVATION.

1.1 The accommodation contract shall become effective upon acceptance of Guest’s reservation by Outpost X. Accommodations may not be sublet, transferred, resold, or used for commercial purposes, events, parties, productions, or purposes other than lodging without prior written consent of Outpost X.

1.2 Guest shall provide accurate reservation and contact information and shall be responsible for all persons admitted to the property under Guest’s reservation.

1.3 Outpost X reserves the right, when reasonably necessary due to maintenance, safety, emergency, operational circumstances, or conditions beyond its reasonable control, to relocate Guest to a reasonably comparable available accommodation.

1.4 Where Outpost X expressly confirms a full or partial property buyout or approves a small private gathering associated with Guest’s reservation, Guest may use only the accommodations, common areas, amenities, parking areas, RV/campsite areas, and other property spaces specifically included or approved by Outpost X. A property buyout does not grant unrestricted access to staff areas, utility areas, maintenance areas, storage areas, restricted zones, or any other portion of the property not intended for guest use. Guest is responsible for the conduct, safety, compliance, supervision, and actions of all occupants, visitors, invitees, vendors, pets, and other persons admitted to the property in connection with Guest’s reservation. All such persons remain subject to this Agreement, property rules, staff instructions, occupancy limits, parking requirements, fire restrictions, safety requirements, and applicable law. Access to amenities, common spaces, recreational equipment, RV/campsite areas, roads, trails, fire pits, hot tubs, saunas, Sand Cruisers, and other facilities remains subject to availability, weather, maintenance, safety conditions, power or water limitations, local restrictions, and Outpost X operational requirements. Exclusive property access does not guarantee uninterrupted availability of any specific amenity or activity. Guest shall obtain prior approval for significant setup items, outside vendors, amplified sound, generators, large tents, staging, outside lighting or power, catering equipment, recreational vehicles, trailers, or other equipment that may materially affect property operations, safety, utilities, access, or other guests. Guest-owned vehicles, recreational equipment, and other personal property remain subject to Section 9 of this Agreement. Guest is financially responsible for damage, excessive cleaning, missing items, abandoned property, trash, vendor-related damage, pet-related damage, towing or recovery costs, unauthorized use, rule violations, and other reasonable costs caused by Guest or Guest’s occupants, visitors, invitees, vendors, pets, or other persons associated with the reservation. All decorations, personal property, rental equipment, food, trash, vehicles, trailers, and other event-related items must be removed by the applicable checkout time unless Outpost X agrees otherwise in writing. Large events, weddings, commercial events, ticketed events, productions, or other events requiring expanded property use, vendors, substantial setup, or special operational arrangements may require a separate written event or property-buyout agreement in addition to this Agreement.

2. PRICES, PAYMENT AND SECURITY.

2.1 Full payment is required at the time of booking unless Outpost X expressly agrees otherwise in writing. Guest is responsible for all agreed or applicable accommodation charges, taxes, fees, rentals, add-ons, and other services accepted or incurred in connection with the reservation.

2.2 Outpost X may require a valid payment method, security deposit, credit card authorization, or other reasonable security in connection with Guest’s reservation, stay, activities, or use of equipment.

2.3 Guest authorizes Outpost X, to the extent permitted by applicable law and payment-processing requirements, to charge the payment method associated with the reservation for amounts properly due under this Agreement, including qualifying damage, loss, excessive cleaning, missing property, vehicle or equipment damage, and recovery or towing charges.

3. GUEST COMMUNICATIONS.

3.1 Guest shall provide and maintain an accurate mobile telephone number and email address in connection with the reservation. Outpost X generally provides initial reservation and property information by email; however, text messaging is Outpost X’s primary method of guest communication before and during the stay and shall serve as the primary source for current arrival information, access instructions, property updates, operational notices, and communications with the Outpost X team.

3.2 Guest is responsible for monitoring text messages sent to the mobile number associated with the reservation and for promptly notifying Outpost X if that number changes or cannot receive messages. Where information previously provided by email or another automated communication conflicts with a later direct communication from Outpost X regarding current property operations, access, scheduling, or instructions, the most recent direct communication from Outpost X shall control.

3.3 Guest may contact the Outpost X team by replying to the reservation text-message thread. Guest acknowledges that failure to review communications sent to the contact information provided by Guest does not, by itself, relieve Guest of obligations or instructions properly communicated in connection with the reservation.

4. CANCELLATION, NO-SHOW AND TERMINATION.

4.1 Cancellation, refund, and rescheduling rights shall be governed by the policy applicable to Guest’s reservation at the time of booking. Failure to arrive does not independently entitle Guest to a refund.

4.2 Outpost X may cancel or terminate a reservation when required by force majeure or circumstances beyond its reasonable control; where reservation information is materially false or misleading; where required payment or security is not provided; where the purpose or use of the property is unlawful; or where Guest’s conduct materially threatens the safety, security, property, operation, staff, or other guests of Outpost X.

4.3 A lawful termination by Outpost X for Guest’s material breach shall not create a right to compensation or refund except as required by applicable law.

5. ACCOMMODATION, PRE-CHECK-IN, CHECK-IN AND CHECKOUT.

5.1 Unless expressly agreed otherwise, Guest does not acquire a right to a particular accommodation beyond the accommodation type confirmed in the reservation.

5.2 Completion of Outpost X’s pre-check-in form is mandatory prior to arrival. The form is sent to the email address associated with the reservation, with additional reminders provided by text message. Guest must complete all required information and provide a valid Guest signature and government-issued identification. Completion of the pre-check-in form, including required signature and identification, is a condition of access to the accommodation. Outpost X may withhold or remove accommodation keys and deny access to the unit until all required pre-check-in requirements have been completed. Failure to complete pre-check-in does not constitute cancellation by Outpost X or independently entitle Guest to a refund, extension of the reservation, or adjustment of check-in or checkout times.

5.3 Reserved accommodations are available beginning at 3:00 PM on the agreed arrival date. Early check-in may be requested but is subject to availability and is not guaranteed unless confirmed by Outpost X.

5.4 Standard checkout is no later than 10:00 AM on the agreed departure date. Guests who purchase and receive confirmation of a late checkout may remain in the accommodation until 12:00 PM (noon). A request for late checkout does not modify the checkout time unless the late checkout has been confirmed by Outpost X. Outpost X may assess reasonable additional charges and costs resulting from unauthorized continued occupancy beyond the applicable checkout time.

6. GUEST CONDUCT AND PROPERTY USE.

6.1 Guest shall comply with property rules, posted notices, fire restrictions, occupancy limitations, safety requirements, staff instructions, and applicable laws. Guest shall not enter restricted areas, permit unauthorized use of equipment or vehicles, intentionally or negligently damage property, interfere with safety equipment, or engage in conduct creating an unreasonable risk to persons or property.

6.2 Guest is responsible for the conduct of Guest’s occupants, visitors, invitees, and minors. Parents, guardians, and responsible adults are responsible for supervision of minors.

6.3 Outpost X may restrict or discontinue access to any amenity, activity, equipment, vehicle, structure, trail, or area where reasonably necessary for maintenance, operational, environmental, or safety reasons.

7. ASSUMPTION OF RISK.

7.1 Guest acknowledges that Outpost X is a remote desert property offering unconventional accommodations, outdoor amenities, recreational activities, and access to natural terrain. Use of the property, accommodations, amenities, activities, and equipment involves inherent and reasonably foreseeable risks, including but not limited to slips, trips and falls; uneven or changing terrain; stairs, pathways, decks and elevated areas; outdoor and recreational structures or equipment; hot, cold, wet or slippery amenities and surfaces; fire and heated surfaces; motorized recreational vehicles; wildlife, insects and vegetation; extreme temperatures, sun exposure and dehydration; changing weather and natural conditions; limited nighttime visibility; physical exertion; and delayed emergency response associated with the property’s remote location. Such risks may result in property damage, illness, bodily injury, permanent disability, or death.

7.2 Guest knowingly and voluntarily assumes all inherent and reasonably foreseeable risks associated with Guest’s stay and voluntary use of Outpost X property, amenities, activities, and equipment. Guest is responsible for exercising reasonable care and determining whether Guest and members of Guest’s party are physically capable of safely participating in an activity or using an amenity.

8. RECREATIONAL AND MOTORIZED VEHICLES.

8.1 Operation or use of Sand Cruisers, Speeders, Argo vehicles, or other recreational or utility vehicles involves inherent risks including collision, rollover, loss of control, terrain conditions, obstacles, mechanical failure, and operator or passenger error, which may result in serious bodily injury, death, or property damage. Only authorized persons satisfying Outpost X driver requirements may operate such vehicles. Operation while impaired or in violation of provided operating instructions, restrictions, or designated boundaries is prohibited.

8.2 Use of such vehicles may require execution of a separate waiver, checkout agreement, or damage authorization, which shall apply in addition to this Agreement.

8.3 Guest accepts financial responsibility for damage resulting from Guest’s or Guest’s party’s use or misuse of any such vehicle, including reasonable repair, replacement, parts, labor, recovery, extraction, or towing costs. Any deposit or authorization amount shall not constitute a limitation upon Guest’s responsibility for actual qualifying damage.

9. DAMAGE, LOSS AND PERSONAL PROPERTY.

9.1 Guest is financially responsible for damage beyond ordinary wear and tear to accommodations, furnishings, fixtures, amenities, structures, equipment, vehicles, or other Outpost X property caused by Guest or Guest’s occupants, visitors, invitees, or minors. Guest is likewise responsible for missing property, excessive cleaning, unauthorized smoking, unauthorized animals or pet-related damage, and reasonable costs arising from misuse of Outpost X property or equipment. Outpost X may document such amounts by photographs, inspection records, estimates, invoices, receipts, staff reports, or other reasonably available evidence.

9.2 Guest shall promptly report significant damage, defects, malfunctions, or unsafe conditions and shall take reasonable action to avoid increasing any known damage.

9.3 To the fullest extent permitted by Utah law, Outpost X shall not be responsible for loss, theft, or damage to Guest’s personal property. Provision of parking does not constitute a safekeeping agreement for Guest’s vehicle or property contained therein.

9.4 Guest-owned vehicles, RVs, trailers, dirt bikes, ATVs, UTVs, motorcycles, e-bikes, recreational vehicles, and other personal equipment are brought onto and used on the property entirely at the Guest’s own risk. Outpost X is not responsible for loss, theft, damage, towing or recovery costs, weather-related damage, terrain-related damage, mechanical failure, collision, injury, or other loss arising from the storage, parking, transport, or operation of such property. Guest is solely responsible for ensuring that any personally owned recreational vehicle or equipment is legally operated, properly insured, and used only in areas approved by Outpost X.

10. FOOD, AMENITIES, NATURAL CONDITIONS AND REMOTE LOCATION.

10.1 Guests with food allergies, intolerances, or dietary restrictions are responsible for informing staff before ordering or consuming food. Outpost X cannot guarantee an allergen-free environment or the absence of cross-contact.

10.2 Guest acknowledges that hot tubs, saunas, cold plunges, fire pits, outdoor structures, elevated areas, recreational amenities, and surrounding surfaces involve inherent risks associated with heat, cold, water, fire, elevation, physical activity, and wet or slippery conditions, and Guest assumes such risks subject to Section 7.

10.3 Outpost X is located in a remote natural environment. Weather, wildfire, smoke, flooding, lightning, wind, extreme temperatures, wildlife, road conditions, utility interruptions, and other natural or external events may affect accommodations, activities, or access to the property. Emergency medical, fire, law-enforcement, towing, transportation, or other services may require additional response time. Outpost X may modify or restrict operations where reasonably necessary because of such conditions.

11. RELEASE, INDEMNIFICATION AND LIMITATION OF LIABILITY.

11.1 TO THE FULLEST EXTENT PERMITTED BY UTAH LAW, GUEST, ON BEHALF OF GUEST AND GUEST’S LEGAL REPRESENTATIVES, HEIRS, AND ASSIGNS, KNOWINGLY AND VOLUNTARILY RELEASES AND AGREES TO HOLD HARMLESS EXOTIC BNBS LLC d/b/a OUTPOST X AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES FROM CLAIMS FOR PERSONAL INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE ARISING FROM THE INHERENT RISKS OF THE PROPERTY, ACCOMMODATIONS, ACTIVITIES, AMENITIES, OR EQUIPMENT, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF A RELEASED PARTY, TO THE EXTENT SUCH CLAIMS MAY LAWFULLY BE RELEASED. GUEST EXPRESSLY UNDERSTANDS THAT THIS PROVISION INCLUDES A RELEASE OF CLAIMS THAT MAY OTHERWISE EXIST FOR ORDINARY NEGLIGENCE. This release shall not apply to liability that cannot lawfully be waived or limited.

11.2 To the fullest extent permitted by law, Guest agrees to indemnify and hold harmless Outpost X and its owners, members, managers, employees, contractors, agents, and affiliates from third-party claims, damages, liabilities, and reasonable costs arising from Guest’s or Guest’s party’s violation of this Agreement, unlawful or intentional misconduct, misuse of property or equipment, or damage for which Guest is responsible.

11.3 Outpost X shall make reasonable efforts to address material defects or disruptions reported during Guest’s stay. Guest shall provide notice of such conditions without unreasonable delay and take reasonable measures to minimize resulting damage.

12. GENERAL PROVISIONS.

12.1 This Agreement, Guest’s confirmed reservation terms, and any applicable activity, rental, vehicle, or add-on agreement constitute the terms governing Guest’s stay and use of Outpost X services.

12.2 This Agreement shall be governed by the laws of the State of Utah. If any provision is determined to be invalid or unenforceable, it shall be enforced to the maximum extent permitted or severed as necessary without affecting the remaining provisions.

12.3 Electronic acceptance of this Agreement shall have the same force and effect as a handwritten signature to the extent permitted by law. By accepting this Agreement, Guest acknowledges having had an opportunity to review its terms, understands the assumption of risk and release of liability contained herein, accepts applicable financial responsibility for Guest and Guest’s party, and voluntarily agrees to be bound by this Agreement.
